These CleanBoss Affiliate Program Terms & Conditions (the “Agreement”) contain the complete terms and conditions that apply to your participation as an affiliate in the CleanBoss Affiliate Program (the “Program”). As used in this Agreement, “we,” “us,” or “CleanBoss” means CleanBoss, Inc., and “you” or “your” means the applicant affiliate party.
By submitting your application to the Program, you are confirming that you have read and understand this Agreement, you represent and warrant that you are lawfully able to enter into contracts, and you agree to be bound by, and will continue to comply with, this Agreement throughout the full duration of your participation in the Program.
To be eligible to apply to the Program, you must:
• Be at least eighteen (18) years of age or the age of majority in your jurisdiction.
• Maintain an active, public website, blog, or social media presence that aligns with CleanBoss brand values.
• Not be a current employee, or immediate family member of an employee, of CleanBoss, Inc.
CleanBoss will evaluate your application and notify you of your acceptance or rejection. We reserve the right to reject any application at our sole discretion. We may reject your application if we determine that your site or content is unsuitable for the Program, including, but not limited to, content that is sexually explicit, violent, discriminatory, illegal, or infringes on intellectual property rights [1].
Upon acceptance into the Program, you will be provided with unique tracking links ("Qualifying Links").
• Use of Links: You may post Qualifying Links on your approved platforms. You may only use links provided by CleanBoss or our designated affiliate network.
• No Direct Linking or Bidding:You may not use your Qualifying Links as the destination URL in any paid advertisement (e.g., direct-linking). You may not bid on CleanBoss branded keywords (e.g., "CleanBoss," "Joy Mangano," "Clean Boss Disinfectant"), variations, or misspellings in search engines or content networks (such as Google Ads or Bing Ads) [1].
• No Brand Misrepresentation: You may not create social media accounts, domains, or websites that misrepresent themselves as an official CleanBoss property or use the "look and feel" of CleanBoss domains [1].
• Commission Rate: You will earn a Referral Fee (commission) based on a percentage of the Net Price of Qualifying Products sold through your Qualifying Links. The specific commission rate will be provided upon your acceptance into the Program. "Net Price" means the sale price listed online, less any discounts, coupons, shipping, handling, and taxes [1].
• Cookie Duration: We utilize a standard 30-day cookie duration. To earn a Referral Fee, the customer must click your Qualifying Link and complete a purchase within 30 days of the initial click.
• Payment Schedule:Commissions are calculated monthly. Payments will be issued approximately thirty (30) days following the end of each calendar month in which the commissions were earned, provided your account balance meets the minimum payout threshold of $50.00 USD [2].
• Reversals and Fraud: CleanBoss reserves the right to reverse commissions due to canceled orders, refunded products, credit card chargebacks, or fraudulent activity (including self-referrals or cookie stuffing) [2].
As an affiliate, you are endorsing CleanBoss products and receiving financial compensation. You must strictly comply with the Federal Trade Commission’s (FTC) Endorsement Guides [3].
• Clear and Conspicuous: You must clearly and conspicuously disclose your material connection to CleanBoss whenever you post a Qualifying Link or endorse our products. The disclosure must be unavoidable and easy to understand.
• Approved Language: You must use clear language such as #ad, #sponsored, or Paid partnership with CleanBoss. Ambiguous hashtags like #sp, #collab, or #partner are strictly prohibited [3].
• Placement: In written content, the disclosure must appear before the affiliate link. In video content (e.g., TikTok, Instagram Reels, YouTube), the disclosure must be superimposed on the video and spoken aloud [3].
• Liability: Failure to properly disclose your affiliate relationship is a material breach of this Agreement and will result in immediate termination from the Program and forfeiture of unpaid commissions.
By entering into this Agreement, you explicitly agree to be bound by the CleanBoss Creator Compliance Agreement. The Compliance Agreement outlines strict regulatory, legal, and brand guidelines regarding product claims, particularly concerning our EPA-registered products. The CleanBoss Creator Compliance Agreement is incorporated herein by reference. A violation of the Compliance Agreement constitutes a material breach of this Agreement.
CleanBoss grants you a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, and provided marketing materials ("Licensed Materials") solely for the purpose of promoting Qualifying Products through the Program [2].
• You may not alter, modify, or manipulate the Licensed Materials in any way.
• All rights, title, and interest in the Licensed Materials remain the exclusive property of CleanBoss, Inc.
• This license terminates immediately upon your exit or removal from the Program.
The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party.
• Termination for Convenience: Either you or CleanBoss may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
• Termination for Cause: CleanBoss may immediately terminate this Agreement and withhold unpaid commissions if you violate any term of this Agreement, the Compliance Agreement, or engage in fraudulent, illegal, or unethical activity [1].
• Effect of Termination: Upon termination, you must immediately cease using and remove all Qualifying Links, Licensed Materials, and CleanBoss branding from your platforms.
You represent and warrant that:
• You have the full right, power, and authority to enter into and be bound by this Agreement.
• Your site and promotional methods do not and will not violate any applicable laws, regulations, or third-party rights (including intellectual property and privacy rights).
• You will strictly comply with all FTC guidelines regarding endorsements and disclosures.
You agree to indemnify, defend, and hold harmless CleanBoss, Inc., its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement or the Compliance Agreement; (b) your website, content, or promotional activities; or (c) your violation of any law or the rights of a third party [2].
CleanBoss will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total Referral Fees paid or payable to you under this Agreement.
This Agreement will be governed by the laws of the State of New York, without reference to rules governing choice of laws. Any dispute relating in any way to the Program or this Agreement will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
